Terms of Service

These Terms constitute the regulamin of the MCPGatePro electronic service as required by the Polish Act of 18 July 2002 on Providing Services by Electronic Means (Ustawa o świadczeniu usług drogą elektroniczną, Journal of Laws 2020, item 344, as amended).

2. Definitions
- Service
- The MCPGatePro platform at mcpgatepro.com — a hosted gateway providing authenticated access to MCP (Model Context Protocol) servers including CostPilot and PGAuditor.
- User / you
- Any natural person or legal entity that creates an account or uses the Service.
- Consumer
- A natural person using the Service for purposes outside their trade, business, craft, or profession (Art. 22¹ Polish Civil Code).
- Subscription
- A recurring monthly payment plan granting access to specified MCP servers.
- API Key
- A unique credential issued to a User to authenticate requests to the Service.
- MCP Server
- A Model Context Protocol-compliant backend (CostPilot, PGAuditor) proxied through the Service.
3. Scope and Technical Requirements
The Service provides hosted MCP server access for integration with AI clients (e.g. Claude Desktop, Claude Code). The Service operates as a software-as-a-service offering accessible via HTTPS.
Technical requirements: An internet-connected device, an MCP-compatible AI client, and a valid payment method for subscription. No software installation on your server is required.
Prohibited content: You must not use the Service to process, transmit, or store unlawful content, personal data without appropriate legal basis, or content that infringes third-party intellectual property rights.
4. Account Registration and Contract Formation
A contract for the provision of the Service is concluded when you:
- Complete Stripe checkout and payment is successfully processed, or
- Submit your email address via the waitlist form and we subsequently activate your account.
You must be at least 18 years old and legally capable of entering into a binding contract. By registering, you confirm this. Businesses acting on behalf of a legal entity confirm they have authority to bind that entity.
You are responsible for maintaining the confidentiality of your API Key. Notify us immediately at hello@innodigital.io if you suspect unauthorised use.
5. Subscription Plans and Pricing

All prices are exclusive of VAT/GST. Where applicable under your jurisdiction or ours, tax will be added at checkout or invoiced separately. Prices are displayed in USD; Stripe converts to your local currency where supported.
Subscriptions renew automatically on the same day each month. You will receive an email receipt for each charge. We reserve the right to change prices with 30 days' notice; if you do not cancel before the new price applies, you accept the new price.
6. Right of Withdrawal (Consumers)
Important notice for Consumers in the EU/EEA
Under the Polish Consumer Rights Act (Ustawa o prawach konsumenta) implementing EU Directive 2011/83/EU, Consumers ordinarily have a 14-day right of withdrawal from distance contracts without giving a reason.
By completing checkout and requesting immediate access to the Service, you expressly consent to the performance of the digital service contract beginning before the withdrawal period expires. Accordingly, you lose your right of withdrawal once service delivery has commenced (Art. 38(1)(13) of the Polish Consumer Rights Act).
This notice constitutes the required pre-contractual information under Art. 12 of that Act.
7. Refund Policy
Given the nature of digital services and the loss of withdrawal rights stated above, payments are generally non-refundable once service access has commenced.
Exceptions — we will issue a full refund if:
- →The Service was materially unavailable for more than 72 consecutive hours in a billing period due to our fault.
- →You were charged in error (duplicate charge, wrong amount).
- →A mandatory provision of applicable consumer law entitles you to a refund.
Refund requests must be submitted to hello@innodigital.io within 7 days of the charge. We will respond within 14 days.
8. Cancellation
You may cancel your subscription at any time via the Stripe customer portal (link provided in billing emails) or by emailing hello@innodigital.io. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not prorate partial months on cancellation.
We may suspend or terminate your account immediately if you: violate these Terms, engage in abuse or fraudulent activity, fail to pay after reasonable notice, or if required by law.
9. Acceptable Use
You agree not to:
- ✕Reverse-engineer, decompile, or attempt to extract source code from the Service
- ✕Share, resell, or sublicense your API Key without our written consent
- ✕Use the Service to transmit malware, spam, or engage in denial-of-service attacks
- ✕Circumvent rate limits or billing controls
- ✕Use the Service for any unlawful purpose or in violation of applicable export controls
- ✕Process personal data through the Service without a valid legal basis under GDPR
10. Service Availability and Disclaimer
We target 99.5% monthly uptime excluding scheduled maintenance. The Service is provided "as is" and "as available". We do not warrant that the Service will be error-free or continuously available.
The MCP tools (CostPilot, PGAuditor) provide analysis and recommendations. You bear sole responsibility for any actions taken based on their output. Always verify AWS cost optimisation or database changes in a safe environment before applying to production.
11. Limitation of Liability
To the maximum extent permitted by applicable law (including mandatory consumer protection rules that cannot be excluded):
- –Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you in the 3 months preceding the event giving rise to the claim.
- –We are not liable for indirect, incidental, special, or consequential damages, loss of profits, or loss of data.
- –Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded by law.
These limitations apply even if we have been advised of the possibility of such damages.
12. Intellectual Property
All intellectual property in the Service (software, design, branding, documentation) belongs to InnoDigital or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
You retain all rights to data you process through the Service. You grant us a limited licence to process such data solely to provide the Service.
13. Changes to These Terms
We may amend these Terms. We will notify you of material changes by email and/or a notice on this page at least 14 days before the new terms take effect. If you continue using the Service after the effective date, you accept the revised Terms. If you disagree, you may cancel before the effective date.
14. Complaints Procedure
To submit a complaint about the Service:
- Email hello@innodigital.io with subject line "Complaint — [brief description]".
- Include your registered email, a description of the problem, and the remedy sought.
- We will acknowledge within 3 business days and issue a substantive response within 14 calendar days.
If you are dissatisfied with our response, you may escalate to the relevant consumer protection authority in your country, or use the EU online dispute resolution (ODR) platform.
15. Out-of-Court Dispute Resolution
In accordance with EU Regulation No 524/2013, Consumers may use the European Online Dispute Resolution (ODR) platform:

16. Governing Law and Jurisdiction
These Terms are governed by the law of the Republic of Poland. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Poland, save that:
- →Consumers domiciled in another EU Member State retain the right to bring proceedings before the courts of that Member State and to rely on any mandatory consumer protection provisions of that state's law.
- →Nothing herein deprives any Consumer of protection afforded by mandatory provisions of the law of their country of habitual residence.
17. Miscellaneous
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and InnoDigital regarding the Service.
Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control (e.g. internet outages, third-party cloud failures, acts of God).
Language: These Terms are provided in English. In the event of any inconsistency with a translated version, the English version prevails.
